Invacare Prices Senior Notes

ELYRIA, Ohio–(BUSINESS WIRE)–Invacare (NYSE:IVC) (Invacare or the Company) announced today the pricing of $175 million principal amount of its Senior Notes due 2015 to be sold to qualified institutional buyers pursuant to Rule 144A and to non-U.S. persons outside the United States in reliance on Regulation S under the Securities Act of 1933, as amended (the Securities Act). The notes will be unsecured senior obligations of the Company guaranteed by substantially all of the Companys domestic subsidiaries, and will pay interest at 9 ¾% per annum on each February 15 and August 15. Subject to customary conditions, the offering is expected to close on February 12, 2007.

The Company is negotiating a new financing program that is expected to result in total capacity of approximately $700 million and is expected to include a senior secured revolving credit facility and term loans, in addition to the notes and $125 million principal amount of the Companys 4.125% convertible subordinated debentures due 2027, which priced on February 5, 2007. The Company intends to use the net proceeds from the sale of the notes, together with proceeds from these other financings that the Company is currently negotiating, to refinance substantially all of its existing indebtedness and pay related fees and expenses.
